Do you need to file reports if your company isn't operating

· 4 min read

In short

Yes. A company with no sales remains a taxpayer: it must file reports on time, and the salaries of the director and employees must be documented and taxed. For a late report, the head of the company is fined 3–10 BCA (base calculation amount). Outsourced zero reporting at FINDETAILER costs 3,000,000 soum a month.

Why "no activity" doesn't mean "no reports"

As long as a company is registered, it is registered with the tax authority. The obligation to file reports doesn't depend on whether there were any sales. Even if there were no transactions, this needs to be confirmed with reports by the set deadlines.

What a "dormant" company usually still has

  • Tax and financial reporting under the chosen regime.
  • Salaries of the director and employees. If there are people on staff, salaries are accrued, 12% personal income tax (PIT) is withheld and 12% social tax is charged.
  • Incoming documents. Rent, banking services, telecoms: these expenses and invoices need to be recorded.
  • Responses to tax authority notices. If you miss them, problems pile up.

What happens if you don't file

For late reporting, the head of the company is fined 10 BCA, or 3 BCA for micro and small enterprises. A long absence of reports attracts the tax authority's attention and makes it harder to resume operations. More in our article on fines for late reporting.

How much zero reporting costs

At FINDETAILER, the "Zero activity" plan costs a fixed 3,000,000 soum a month. It includes 1C bookkeeping, filing reports, processing 1–2 incoming invoices and payroll for 1–2 employees. If sales become regular, we'll let you know and offer a suitable plan.

If reports have already been missed

The sooner you start, the better: a first violation can be closed without a fine if the report is filed within 30 days of the violation being discovered and the tax is paid. We'll check which reports haven't been filed, restore them and help settle the matter with the tax authority.
